Terms of Service

1. Introduction and acceptance

1.1 These Terms of Service ("Terms") govern your access to and use of the website located at guestxp.io (the "Website") and your use of our Gmail and Outlook addon integrations (the “Services”). By accessing or using the Website and our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Website or our Services.

1.2 These Terms apply to your use of the Website and our Services. Your use of GuestXP's guest data platform (excluding the Gmail and Outlook addon integrations) is instead governed by the separate agreement entered into between GuestXP and the relevant customer, and by GuestXP's Privacy Policy, available at guestxp.io/legal.

2. Description of the Services

2.1 The Website provides general information about GuestXP and its guest data platform, and allows visitors to make contact with GuestXP.

2.2 Our Gmail and Outlook addon integrations (each an "Addon") allow a user who already has an active account with GuestXP (provisioned through GuestXP's agreement with the relevant Customer) to install the Addon in their Gmail or Outlook mailbox.

2.3 The Website and the Addons are together referred to as the "Services". These Terms govern your access to and use of the Services generally. They do not replace, and are without prejudice to, any separate agreement between GuestXP and a Customer governing the guest data platform, or GuestXP's Privacy Policy, save for what is stated regarding the Addons (which shall prevail in relation to the Addons).

3. Eligibility and accounts

3.1 The Addons may only be used by individuals who already hold a valid, active account with GuestXP, provisioned by a Customer that has entered into an agreement with GuestXP for the guest data platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 You must ensure that your use of the Addons complies with any policies of your employer or organisation (including your Customer's agreement with GuestXP) and with the terms of service of Google Workspace and/or Microsoft 365, as applicable.

4. Use of the Website and the Addons

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• (a)use the Services in any way that breaches any applicable local, national or international law or regulation;
• (b)use the Services to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material;
• (c)attempt to gain unauthorised access to the Services, the server(s) on which they are hosted, or any server, computer or database connected to the Services;
• (d)attack the Services via a denial-of-service attack or a distributed denial-of-service attack;
• (e)reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying ideas, or algorithms of the Services, or otherwise attempt to derive the source code of any software used to provide the Services, except to the extent such restriction is prohibited by applicable law;
• (f)copy, reproduce, republish, frame, download, transmit, modify, distribute, or otherwise exploit any content made available through the Services, except as necessary for your own permitted use of the Services; or
• (g)use any automated means (including bots, scrapers, or crawlers) to access or interact with the Services, other than through the Addons' intended functionality.

6. AI & Automated Output Disclaimer

All AI-generated content, suggestions, and automated communications provided by GuestXP, including any draft replies generated through the Addons, are for informational and assistance purposes only. You remain solely responsible for evaluating, enabling, reviewing, and approving all messages and communications sent or generated through the Services before they are sent, and you remain ultimately responsible for any content, messages, or communications you send or distribute to any third party using the Services. GuestXP does not review or approve such content or communications on your behalf and gives no assurance as to its accuracy, completeness, or suitability for any particular purpose.

7. Intellectual property

The Services and their entire content, features and functionality (including all text, graphics, logos, software, and the GuestXP name and marks) are owned by GuestXP or its licensors and are protected by copyright, trademark and other intellectual property laws. Nothing in these Terms grants you any right, title or interest in the Services or their content, other than the limited right to use the Services in accordance with these Terms.

8. No warranty

The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy or completeness, to the fullest extent permitted by applicable law. GuestXP does not warrant that the Services will be uninterrupted, error-free, or that any AI-generated content will be accurate or appropriate for any particular purpose.

9. Limitation of liability

9.1 To the fullest extent permitted by applicable law, GuestXP shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, arising out of or in connection with your access to or use of, or inability to access or use, the Services, including any content sent or communications made using AI-generated suggestions, whether based on warranty, contract, tort (including negligence) or any other legal theory, and whether or not GuestXP has been informed of the possibility of such damages.

9.2 You agree to indemnify and hold GuestXP harmless from any claims, damages, liabilities, costs or expenses (including reasonable legal fees) arising out of your use of the Services, including any content or communications you send or approve using the Addons.

10. Suspension and termination

GuestXP may suspend or terminate your access to the Services at any time, without notice, if we reasonably believe you have breached these Terms or if your underlying account with GuestXP is suspended or terminated.

11. Links to other websites

The Website may contain links to third-party websites or services that are not owned or controlled by GuestXP. GuestXP has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

12. Changes to these Terms

We may revise these Terms from time to time. The latest version will always be available at guestxp.io/legal. Your continued use of the Services after any changes take effect constitutes your acceptance of the revised Terms.

13. Governing law and disputes

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the District Court of Stockholm (Sw. Stockholms tingsrätt) as court of first instance.
